After deliberation, the Board, having considered the best interest of the Company passes, by separate and unanimous votes, the following resolution:

The Board resolves to approve the Transfer of the Company¡¯s Registered Office,i.e. Toolux Sanding SA, from L-2320 Luxembourg, 69, boulevard de la P¨¦trusse to 3B, boulevard du Prince Henri - L-1724 Luxembourg as from September 1st, 2011.
